Seminar Description

Companies are typically used as vehicles for the implementation of particular projects, however such corporate entities are typically closed after the purpose for which the entities were set up is reached. Approaching closure of a company in an orderly manner is essential at the end of a project life cycle.

Solvency is the first item which is commonly discussed in such scenarios. Although a company may be insolvent, through the implementation of restructuring techniques, a company can regain solvency in order to proceed with a members voluntary winding up. The seminar shall discuss different restructuring plans to achieve solvency and the practical tax implications thereof.

Proper compliance at the final stages of a company’s life cycle should not be underestimated. The seminar shall provide an in-depth analysis into dissolution and winding up from a company law perspective. In addition the income tax, value added tax and accounting issues typically encountered in such projects shall be critically outlined. A walk through procedure shall be presented highlighting the important issues. Salient concepts will be supported by a numerical example and specific scenario analysis.
